Domo Activos Approves a Capital Increase of €20M

Domo Activos has approved a capital increase amounting to €20 million, according to a statement issued by the company in the Official Gazette of the Mercantile Registry (BORME).

The company will undertake the increase, which must be executed within a maximum period of one year, through the issue of up to 10 million shares at a price of €2.10.

The capital increase follows another approved by the company in September 2018 amounting to €5 million for the purchase of new land. The company owns buildable land in Madrid, Málaga, Sevilla, Valencia, Córdoba and Zaragoza.

The business model of Domo Activos involves the acquisition of land for the development of rental properties. After three years, those properties are then sold.

Socimi Vivenio to Invest Another €142.5M to grow its Portfolio

The Socimi Vivenio, owned by Renta Corporación (3%) and the Dutch fund APG (95%), has approved a capital increase amounting to €142.5 million, as it seeks to continue to grow its portfolio. The company will use the funds to buy new residential assets to incorporate into its portfolio, which is worth €470 million, according to the Alternative Investment Market (MAB).

Vivenio’s portfolio currently comprises 24 residential properties (containing more than 2,000 homes, 2,020 parking spaces and 1,600 storerooms) spanning a surface area of 185,500 m2, located mainly in Madrid and Barcelona. It also owns some assets in Valencia and Palma de Mallorca. The Socimi was created in April 2017 and has been listed on the MAB since the end of 2018.

Vukile to Inject €600M into its Socimi Castellana Properties

Vukile is going to inject €600 million into its Spanish Socimi, Castellana Properties, to enlarge its portfolio. The aim of the South African fund is to debut the Socimi, which specialises in shopping centres, on the main stock market during 2019.

The company currently owns 19 commercial assets in Spain worth €898 million and has a leverage ratio of 48%, but before making the leap onto the main stock market, the company wants to increase its asset portfolio to €1,500 million and reduce its leverage ratio to below 45%.

The plan is to carry out a €600 million capital increase, to finance the additional asset purchases, which will be subscribed by its main shareholder, Vukile.

VBare Earned €4.8M in 2018 & Plans to Raise More Financing in 2019

The Socimi VBare, which specialises in the management of residential assets, generated a profit of €4.8 million in 2018, up by 100% compared to the previous year. That increase was driven by the strong performance of its rental income and an appreciation in the value of its portfolio.

In this context, the company is going to carry out another capital increase within the coming months to finance the acquisition of more properties and further fatten up its portfolio.

The company’s revenue also increased in 2018 to €1.4 million, up by 33% compared to 2017, when the Socimi generated sales from gross rental income of €1.07 million.

At the end of 2018, VBare’s assets were worth €50 million, up by 76% YoY and the occupancy rate of its portfolio amounted to 90% at year end (vs. 83% at the end of 2017).

Looking ahead, the Socimi plans to continue focusing its investments in Madrid. Already this year, it has purchased a building containing 27 homes and two premises on Calle Vallehermoso in the Spanish capital for €5.2 million. Following that operation, the company’s portfolio contains 301 units.

Grupo Iffe Acquires Promorent & Implements a Change in Strategy

Promorent, the second Socimi to enter the Alternative Investment Market (MAB), is changing hands. The company has been acquired by the Institute of Financial and Business Training (“el Instituto de Formación Financiera y Empresarial” or Grupo Iffe), which has purchased a majority stake through a capital increase amounting to €33.7 million, according to confirmation provided by David Carro Meana, CEO of Iffe, speaking to Eje Prime.

Following the operation, the company will cease trading as a Socimi and it has already filed a request with the MAB to enter the segment of expanding businesses under the name Iffe Futura. The group has also approved an increase in its share capital, at an extraordinary shareholders meeting, to take the leap into the field of property development.

Until now, Promorent was a Socimi with a real estate disposition. Now, with the entry of Grupo Iffe, it will also be a property developer. Moreover, the company’s new statutes provide for the possibility of acquiring and administering shares in other companies, even if they are not Socimis.

The new Board of Directors of Iffe Futura will be led by David Carro Meana. The President of Grupo Iffe will become the President and CEO of the company (…).

With this operation, Grupo Iffe is taking control of a listed company and consolidating its business as a property developer. The company, which is headquartered in Oleiros, A Coruña, already operates three other main lines of business: a business school, a financial consultancy and a business incubator.

Promorent, constituted in November 2011, has been a real estate company until now. It was promoted by the Pavón Olid family group and it was the second Socimi to make its debut on the MAB in December 2013. The company has a diversified portfolio comprising 18 assets: 11 homes in the centre of Madrid, 4 commercial premises and 3 plots (…).

Galil Capital Completes a €7.9M Capital Increase

Galil Capital is raising funds to continue growing its portfolio. The Socimi is going to increase its share capital by €7.9 million, compared with the figure of €8.74 million planned initially, according to a statement filed with the Alternative Investment Market (MAB).

Once the term for the preferential subscription and discretional allocation of shares has ended, Galil explained that the share capital will be increased by €6.59 million, corresponding to 658,710 new shares and to a total disbursement of €7.9 million.

The shareholders of the Socimi, controlled by the Israeli businessman Gil Avraham Shwed, approved the capital increase of up to €8.74 million last November. With this operation, promoted just one month after it raised €4.5 million in bank loans, the company is intending to finance the purchase of new assets.

Galil Capital started life in 2015 and specialises in the investment and management of properties in Madrid and Barcelona. The Socimi is led by Jerry Mandel, former CEO of Merrill Lynch, who is the founder and owner of GC Nadlan, the company that manages the real estate firm (…).

According to the latest available information, corresponding to June, Galil Capital’s portfolio comprises six assets, all of which have residential use, worth €31.36 million (…).

Vitruvio to Complete a €14.5M Capital Increase Ahead of its Takeover of Única

Vitruvio is preparing to launch its takeover bid for Única. The Socimi is planning to complete a €14.5 million capital increase to finance the operation, which will be complemented by the exchange of shares plus available cash from the company.

In addition, the company has now completed the two due diligence processes on the Madrilenian Socimi – specifically, the technical and legal due diligences, and both of them have proved positive. “That was the last step that needed to be completed before submitting the offer to the reference shareholders of Única, which is extendable to all of the shareholders”, explained sources at Vitruvio speaking to Eje Prime.

Vitruvio is planning to close the operation for around €32 million. After adding €45 million in properties from Única, the group will be managing a portfolio of rental assets worth €160 million.

According to explanations provided by the Socimi in a statement sent to the Alternative Investment Market (MAB), the capital increase will finance part of the acquisition, fulfil the maximum indebtedness limit of 33% and make way for the entry of new investors.

The rest of the operation will be paid for with €8.1 million of available cash as well as financing available to Vitruvio for the purchase, and another €9.7 million, which will be paid for with shares representing 30% of Única.

The capital increase will be proposed at the next shareholders meeting in March at a price of €14.50 per share. “Vitruvio will propose the capital increase at the latest NAV per share, whereby avoiding any dilution of the shareholders”, explained the company.

Única Real Estate was founded in 2015 by the former CEO of Metrovacesa, Eduardo Paraja, and specialises in the acquisition and leasing of commercial premises in the Community of Madrid.

Vitruvio, meanwhile, has a diversified portfolio comprising offices, homes and commercial premises. Together, the two companies own 71 properties, and generate revenues and EBITDA of €9.3 million and €6.3 million, respectively.

Meridia III Raises €44M to Grow its Property Portfolio

The Catalan fund Meridia is giving a boost to one of its Socimis. Meridia Real Estate III, led by the businessman Javier Faus, has increased its capital by €44 million, according to an announcement made by the group in the Official Gazette of the Mercantile Registry (BORME). This increase will serve to allow the company to continue with its business plan and add new properties to its portfolio.

According to explanations provided by the company to Idealista News, this increase forms part of the normal operation of the investment vehicle during its investment phase. Meridia Real Estate III is a vehicle dedicated to investment in all segments of the real estate sector in Madrid and Barcelona. The company’s portfolio currently comprises nine assets, including office buildings, industrial platforms and a shopping centre.

One of the most recent operations to be closed by the investment vehicle was the acquisition from the US fund Värde of a plot with a buildable surface area of 24,600 m2 in the 22@ district of Barcelona for €25.8 million.

The company, which purchased that land through its Socimi Meridia III, has already paid half of the cost of the operation. Payment of the remaining €12.9 million has been postponed until 17 March 2020, and it has been guaranteed by a mortgage on the land acquired, according to reports by the company to the stock market regulator.

With this purchase, the company is seeking to undertake a transformation plan for tertiary purposes in the Barcelona district. Currently, Meridia III owns more than 60,000 m2 of buildable space in the 22@ district, making it one of the leading investors in that area of the Catalan capital.

Meridia’s Socimi has been listed on the MAB since the end of last year. The company has starred in some of the most important operations of the last two years, both in the office market, as well as in the retail segment (…).

The fund manager is preparing to launch its fourth fund onto the market before the end of this year. The company is currently in the pre-market phase in territories such as Benelux and Israel, amongst others. The group’s new investment vehicle will join Meridia II, currently in its divestment phase, and Meridia III.

Town Hall of Barcelona Looks for Private Partners to Promote Social Housing

The Administration is looking for a private property developer. The Metropolitán Area of Barcelona (AMB) has opened a process to choose a partner for the public company Habitatge Metròpolis Barcelona, which is planning to build social housing in the city and its metropolitan area.

The entry of a new shareholder will be carried out through a capital increase whereby €12 million will be contributed, according to Expansión. Cevasa, Visoren, Neinor and Sogeviso are some of the interested companies. Meanwhile, the company’s existing shareholders will subscribe another €12 million capital increase in equal parts.

The bidding process will be open for two months. The objective is to raise capital, but also to increase awareness about the development and the management capacity of the stock of rental homes.

The objective involves constructing a stock of social housing properties comprising 4,500 units over the next ten years. The AMB will contribute two estates in Sant Boi de Llobregat and Montgat, and the Town Hall of Barcelona will contribute €6 million.
