Offers for Gescobro Fall Short of Cerberus’s Asking Price

Cerberus Capital Management cannot find a buyer for Gescobro. The US investment fund put the debt recovery specialist on the market at the beginning of the year, but so far the offers submitted have fallen well below its expectations in terms of price.

Hoist Finance, the Spanish subsidiary of a Swedish bank, and Cabot, a British fund dedicated to the purchase of non-performing loans (NPLs), have expressed the greatest interest in Gescobro, but their offers, amounting to around €200 million each, fall well short of Cerberus’s initial expectations of between €300 million and €350 million.

Sources in the market are questioning the value that Cerberus is assigning to Gescobro, given the current market prices and its operating profit (its EBITDA amounted to €11.3 million in 2018). Nevertheless, the US fund is defending its price thanks to the high number of problem loan portfolios that the company has acquired in recent years, whose gross value amounts to more than €8.6 billion.

Specifically, Gescobro is currently managing 12 unsecured loan portfolios with a combined nominal value of €8.3 million and 2 secured loan portfolios with a nominal value of €300 million. The prices of such portfolios typically reach less than 5% and around 30%, respectively. The debt recovery firm also employs 410 workers and has agreements to manage €3.5 billion in NPLs for the main Spanish banks.

Axactor & Grove Compete to Acquire Sareb’s Largest NPL Portfolio

The Norwegian investment fund Axactor and the US fund Grove, which is in the process of merging with the British firm Cabot, are competing to be awarded a non-performing loan portfolio with a nominal value of €2.335 billion by Sareb. The portfolio is the largest of its kind to be sold by the company chaired by Jaime Echegoyen (pictured below), according to financial sources consulted by Vozpópuli.

Sareb has recently received binding offers from the two aforementioned funds, as well as from Kruk, a Polish company specialising in debt recovery. Nevertheless, the proposal made by the latter was well below those submitted by the other two. According to the sources consulted, the Norwegian fund, which recently acquired a €900 million portfolio from Sabadell, as this newspaper revealed, looks to be the favourite to win the auction this time around.

The portfolio in question, which forms part of Project Dune, regarding which Sareb is being advised by KPMG, comprises unsecured non-performing loans. In fact, the assets are mortgage tails – loans that have not been repaid following the execution of their corresponding mortgage contracts – from small- and medium-sized property developers.

In this specific operation, the offers that the interested parties have presented reflect significant discounts, which may even amount to 99% of the nominal value of the portfolio, with the aim of trying to recover the maximum possible amount of the debt, which is no longer secured by any collateral.

Gains

In any case, whatever Sareb obtains for this portfolio will represent a gain for the entity, given that all of the loans, which are considered almost irrecoverable, have already been fully provisioned. The completion of the operation will happen in the month of September, at the earliest, according to the sources consulted.

Last week, Sareb shelved the block sale of between €20 billion and €30 billion in real estate assets due to the high cost of the operation. In fact, the Board of Directors of the entity known as the bad bank decided not to undertake that operation for the time being, due to the capital hole that the sale of those assets would have generated for the acquiring fund, which require higher discounts than individual investors.

That deal was called Project Alpha and Goldman Sachs had been working on it for months, to determine how, when and to whom the portfolio could be sold. Sareb was also supported in that deal by the consultancy firm CBRE and the audit firm EY (…).

KKR Finalises Its Purchase Of Hipoges & The Pepper Group

The investment giant KKR is multiplying its commitment to Spain. The US fund is on the verge of signing two operations, which will see it obtain real influence in the property and financial sectors. Moreover, it is participating in other major processes to purchase portfolios of banking assets, such as Project Invictus, although Bain Capital is expected to be victorious in that case.

The next operation to be signed in the market is the deal involving Hipoges. And according to financial sources consulted by Vozpópuli, KKR has imposed itself in the sales process of that recovery and real estate asset management platform, which was founded in 2008 by former directors of Lehman Brothers.

KKR’s offer has convinced the vendors – comprising the main directors and the fund Cerberus, which holds a 40% stake – ahead of the bid submitted by the British group Cabot. Sources in the market estimate that the price will amount to €25 million – €30 million in the end.

With the purchase of Hipoges, KKR will be able to compete on equal terms to acquire large portfolios of problem assets from the banks. In this regard, four large funds dominate the market: Blackstone, owner of the platform Anticipa and now Aliseda; Apollo, which controls Altamira; Cerberus, a shareholder of Haya Real Estate; and Lone Star, the main investor in Neinor. KKR is led in Spain by Jesús Olmos and Alejo Vidal-Quadras (pictured above).

Other funds in this league include TPG, which owns 51% of Servihabitat, although it has maintained a rather low profile in recent months; and Oaktree, which manages its assets through Sabal Financial.

What is Hipoges?

Hipoges is one of the main independent servicers, alongside Finsolutia, TDX Indigo and Copernicus. It has 200 employees across four countries and it manages loans and properties worth €8,000 million.

On the other hand, KKR is currently finalising the takeover of the Australian firm, the Pepper Group. That consumer financing institution has a lot of activity in Spain, through 300 employees, and has just made the leap into traditional banking with the acquisition of a small Portuguese entity, which also has a branch in Madrid: Banco Primus. As such, Pepper will soon start to grant mortgages in Spain.

Pepper was one of Banco Popular’s partners, in one of the last alliances to be signed by Ángel Ron; however, it only lasted for a few months until Emilio Saracho broke off the agreement.

The group will be an investee company and so the executives of KKR are not expected to get involved in the management of the company beyond sitting on the Board of Directors of the holding company in Australia. Even so, Vidal-Quadras has participated in the operation to value the business in Spain, and so his opinion will be taken into account when determining the financial entity’s strategy.

Fortress Unwinds Its Final Positions In Spain

Fortress has definitively closed a chapter in its history in Spain. The US vulture fund, regarded as one of the most aggressive in the world, has launched two operations in the market through which it is looking to offload its final positions in the Spanish financial sector.

The two deals in question are Project San Siro and Project Baresi. In total, they comprise paid and unpaid loans worth around €300 million, according to financial sources consulted by Vozpópuli. The candidates to buy these loan packages include other opportunistic funds.

The two projects essentially comprise the final dregs of the portfolio that Fortress holds in the Spanish banking sector: loans from Santander, Barclays España (now part of CaixaBank) and Lico Leasing, the former finance company of the savings banks that Fortress purchased at the height of the crisis.

The US fund, led in Spain by the banker José María Cava, was one of the first to enter the financial sector at a time when the lack of trust at the international level was at its peak. It was between 2010 and 2011, when the first interventions of the savings banks began and several cold mergers were carried out, which gave rise to groups such as Bankia.

Critical time

Fortress completed its acquisition of a portfolio from Santander in 2012, just before the rescue of the finance sector. In that deal, Fortress purchased €1,000 million in consumer credits from the group chaired by Ana Botín.

A year later, the US fund announced the purchase of Lico Leasing. That was Fortress’ last major operation in Spain, which broke down just two years later. The fund took a long time to obtain authorisation from the Bank of Spain to approve that acquisition, and so by the time it did receive it, the credit tap had been reopened and so Lico arrived late to the recoveries sector.

For that reason, Fortress decided to close this business and its other financial commitments in Spain. First, it sold one of its recoveries platforms (Paratus) to Elliott and Cabot. Next, it sold Geslico to Axactor. And in terms of the other portfolios (Lico, Santander, and Barclays), it let some of them mature and the remainder is what is now being put up for sale.

It also leaves behind other possible opportunities that the fund considered, such as its failed entry into the share capital of Sareb and of other savings banks, with which it was unable to reach an agreement due to the significant price differences. Fortress is now more focused on other business niches in Spain and most notably in the Italian market, where it purchased, together with Pimco, the largest portfolio of loans, worth €17,000 million, from Unicredit last year. Given its profile, the Spanish banking sector will become the focus of Fortress once again when the next crisis hits.

KKR & Cabot Compete To Acquire Hipoges

KKR and Cabot Financial are competing in one of the processes that has generated the most excitement amongst overseas funds in recent months. The two Anglo-Saxon investors are the finalists in the bid to acquire Hipoges, a platform created at the end of 2008 by former directors of Lehman Brothers, the investment bank that went bankrupt in September of that year.

The platform is controlled by Cerberus, with a 40% stake, and by its CEO, Juan Francisco Vizcaíno, who owns 18.3%. It is not clear how much of the company is up for sale, although the various sources consulted by this newspaper explained that the initiative to launch the sales process has been taken by the directors. The final price of the transaction could amount to €25 million.

The bid is being led by Alantra as an advisor and funds such as Bain Capital have participated in it, in addition to Cabot and KKR.

Hipoges has a presence in four countries, although most of its business is concentrated in Spain. In total, it administers almost €8,000 million for 22 clients, above all overseas opportunistic funds and financial institutions.

Intense competition

The platform advises investors regarding the acquisition of portfolios and the subsequent management of the assets acquired. Hipoges is responsible for administrating debt, filing claims to recover it, going to court and in the event that a property is repossessed, managing and selling it. It also competes with the major real estate companies, such as Haya Real Estate, Altamira, Servihabitat, Aktua, Aliseda, Solvia and with other independent firms such as TDX, Finsolutia and Copernicus.

Of the €8,000 million that it administers, 72% are unpaid loans granted to property developers and mortgages. The remainder are loans to SMEs (14%), consumers (12%) and invoices (2%).

By entering this process, KKR wants to take another step forward in its real estate strategy in Spain. After purchasing a portfolio of mortgages from Abanca – formerly NCG Banco – the North American fund is negotiating the acquisition of a platform that will allow it to continue gaining experience in the property sector.

Meanwhile, Cabot is another of the foreign groups that is most committed to the purchase of banking assets. It arrived in Spain in 2015 with the acquisition of Gesif and is hoping to enter the real estate business with Hipoges.

Sabadell Reports €2,000M In Additional Revenues From Sale Of 2 Portfolios

Banco Sabadell is improving its financial figures. The entity chaired by Josep Oliu has closed several divestments over the last few months that will allow it to report extra revenues of €2,000 million this year.

Through this, it wants to avoid the market from drawing comparisons between it and Popular, as happened with Liberbank before the prohibition against trading short positions was introduced. After a few nervous days for the whole sector, Sabadell’s share price rose by more than 5%, following the express rescue of Popular, and its bearish positions decreased.

The divestments have accelerated in recent weeks, with the sale of two portfolios of doubtful debts and of a reinsurance agreement with Swiss Re, as a result of which it has registered proceeds of almost €700 million.

In terms of its portfolios, Sabadell has signed the transfer of two in the last few days. On the one hand, it has almost completed the sale of Project Gregal, with a volume of €800 million, to three funds. That operation was divided into three sub-portfolios: one containing real estate loans to SMEs (€200 million), which was acquired by D. E. Shaw; another containing non-performing loans to individuals, which has been awarded to Lindorff; and another containing non-performing loans to SMEs, which has yet to be sold and for which Cabot, Intrum and PRA are currently competing, according to financial sources. Market sources estimate that Sabadell will receive between €100 million and €150 million for that operation.

Strategic objectives

In addition to Project Gregal, Sabadell has also signed the sale of €950 million in loans to Oaktree, as part of Project Normandy. That operation has been underway for almost a year but has not been signed until now due to (disagreements regarding) the small print. The US fund has paid around €300 million for that portfolio of loans linked to real estate developments.

With these two operations, Sabadell is pushing ahead with its goal to reduce its balance of problematic assets at a rate of €2,000 million per year, per its announcement during the latest update to its strategic plan.

The sale of its subsidiary in the United States will be more important for its capital (which currently stands at 12%), which was announced in March for a value of $1,025 million, with profits of €450 million. That operation is pending approval from the US administrative authorities, which could be granted this quarter.

The same can be said of the reinsurance of a portfolio of individual life-risk insurance, for which Swiss Re has paid €683 million, resulting in net revenues of €250 million for Sabadell.

Lone Star Sells c.1,000 NPLs & 600 Foreclosed Homes To Cabot

The loan management firm Cabot has purchased Project McLaren from the US fund Lone Star. The portfolio contains more than 1,000 non-performing mortgages worth €102 million and more than 600 homes with a combined appraisal value of €51 million, according to financial sources consulted by Idealista. The properties that secure the mortgages and the homes are primarily located in Madrid, Andalucía, Cataluña and the Community of Valencia.

Cabot, together with Link Finanzas, were the two firms that initially expressed interest in this portfolio, but in the end, the former has acquired the project for an amount that has not been disclosed.

On the basis of their appraisal values, the properties that secure the mortgages are located primarily in Andalucía (21%), Cataluña (21%), Madrid (15%), the Community of Valencia (12%) and the Canary Islands (10%). In terms of the portfolio of homes, they are primarily located in Andalucía (26%), Cataluña (21%), Madrid (12%) and the Community of Valencia (11%).

Lone Star has become one of the most active funds in the Spanish real estate market. Following its purchase of the real estate company Neinor from Kutxabank for €930 million, the fund now wants to become the largest property developer in the country. Neinor Homes debuted on the stock market last month.

Another important operation was Cabot’s purchase, together with JP Morgan, of a package of real estate loans from Commerzbank worth €4,400 million. That portfolio contained loans secured by high-quality assets such as the Zielo Shopping Centre in Pozuelo de Alarcón (Madrid) and the MN4 Shopping Centre in Valencia, as well as the Ritz and Gran Meliá Fénix hotels.

Meanwhile, Cabot Credit Management is the largest manager of unpaid debt in the United Kingdom and Ireland. In 2015, together with the fund Elliot Asesores, it acquired the platform Paratus, which specialises in the management of problem assets. Since last year, it has also owned Gesif, another platform specialising in debt management and investments in portfolios of problem loans in Spain. (…).

Banks Have Put €2,000M In RE Assets Up For Sale In 2017

Real estate assets are still treated like a hot potato in the banking sector. In order to reduce the default rate (which still exceeds 25% in the case of loans to property developers) and avoid more provisions, entities such as Bankia, BBVA and Liberbank are continuing in their efforts to accelerate the sale of portfolios of unpaid secured loans, as well as packages of real estate assets. 2017 has started with almost €2,000 million in properties up for auction. (…). They include homes, premises, offices, industrial warehouses and land.

Most of the operations have been on the market for several months, since no buyers have yet been found. Some are well known, such as BBVA’s Project Vermont, a portfolio of loans to property developers secured primarily by newly built homes and worth almost €100 million. Several funds were interested in acquired this lot: Oak Hill, Fortress and AnaCap.

And it is BBVA that has the most packages on the market, including: Project Buffalo, which contains homes worth €400 million; and Project Boston, which comprises 16 office buildings located in Madrid, Barcelona and Valencia, worth €200 million. (…).

Liberbank has put Project Fox on the market. It is a portfolio of real estate debt worth around €200 million and is the entity’s first (but not its last) portfolio of unpaid mortgages.

Other operations have also made their debuts in 2017. Such is the case of Project Tour, a package being sold by Bankia, one of the most active players in the sale of real estate portfolios. It comprises 1,800 properties (…) and is worth €166 million.

Funds start to divest their purchases

The market has also started to see how some of the international funds that have invested in our country in recent years are starting to sell some of the assets they have purchased. Last year, Lone Star made its debut as a vendor (…) when it put Project McLaren on the market. It comprises two portfolios: one containing more than 1,000 mortgage loans worth €102 million and secured primarily by homes, although there are also some commercial assets in the mix. The other portfolio, comprising more than 600 homes, has a combined appraisal value of €51 million. The firm Cabot, which specialises in managing bank loans, has expressed its interest in that portfolio.

Another fund that wants to divest some of its real estate investments in Spain is the US firm Ares Management, which has put Project Firefox onto the market: real estate debt worth around €160 million.

Bankia, Caixabank and Sareb were the most active at divesting real estate in 2016 (…).

Sareb has been one of the key players in the market (in recent times), having managed to place €1,565 million of real estate debt of all kinds with international investment funds (during its three year life). Its largest non-performing loan portfolio (Project Eloise) had a nominal value of €553.3 million and it was purchased by Goldman Sachs. (…).

In 2016, Bankia had several portfolios up for sale, including Project Ocean, Project Tizona and Project Lane.

Caixabank become one of the most proactive entities in the sale of Spanish property last year. Its most high profile sales included Project Sun, with hotel debt worth around €1,000 million; Project Carlit, with around €750 million of real estate debt; and Project More 2, containing €200 million of owned properties (REOs). Lindorff Buys Aktua From Centerbridge For c. €300M

Aktua, the real estate services company created by the former Banesto, which was acquired by the opportunistic fund Centerbridge Partners in 2012, is about to change owners once again. The Norwegian company Lindorff has reached an agreement to complete the acquisition for almost €300 million, which will turn it into one of the largest landlords in Spain. The Scandinavian company has fought off competition from Apollo Capital Management, the toxic property management arm of Banco Santander, as well as the German firm Activum SG Capital Management.

According to several sources, Lindorff has won the auction led by Barclays, Bank of America Merrill Lynch and Linklaters against those two opponents, and is now putting the finishing touches to the legal conditions so that it can close the operation. It has not been simple because, whilst Aktua was on the market, its parent company, Centerbridge, acquired the real estate arm of Ibercaja – on 2 February – which meant that it had to recalculate the numbers for the potential buyers.

Aktua manages around 42,000 properties worth almost €7,000 million; those assets will be added to those that Lindorff already manages in Spain. The Scandinavian company was one of the pioneers to invest in the real estate and recovery services sector when the crisis first began. In fact, in 2012, it bought Reintegra for €100 million, the subsidiary of Banco Santander dedicated to the recovery of doubtful debts, and in December 2014, it acquired Sabadell’s recovery arm, for which it paid €160 million. Along the way, it also acquired several non-performing debt portfolios, including several from the bank led by Ana Botín.

Currently, Lindorff España, which last year appointed Alejandro Zurbano as its CEO, employs more than 1,100 professionals and has a presence throughout the country, with offices in Madrid, Valladolid, A Coruña, Alicante, Barcelona, Granada, Jerez de la Frontera, Santa Cruz de Tenerife, San Sebastián and Valencia. The multi-national company from the North of Europe has almost 4,000 employees in total, located in its 11 countries of operation, including Norway, Finland, Sweden, Denmark, Russia and Germany.

Although the amount of some of its operations have not been made public, Lindorff has invested almost €1,000 million to become one of the largest landlords in the country. Its work involves managing homes and retail premises, owned by the various real estate companies that it has acquired, claiming the payment of unpaid loans from their owners and negotiating the debt to obtain a spread. Once the last details of the purchase have been finalised, Linforff will manage non-performing loans, homes, retail spaces and land owned by Banesto, Ibercaja, Banco Mare Nostrum (BMN), Santander and Sabadell.

The sale of Aktua was essential for the main overseas funds that have become the largest landlords in Spain, because it is a volume-based business that is currently still very atomised. Sources in the market expect to see a process of concentration in the sector, in which almost €10,000 million has been invested, mainly on the purchase of non-performing loan portfolios. Some are already leaving, such as Elliott, which recently sold its recovery management platform to Cabot, and Fortress, which has now put its main businesses in Spain up for sale: the financing company Lico Leasing and the loan management platform Paratus.

For Centerbridge, the sale of Aktua is going to generate a sizeable profit, given that it acquired the platform for around €100 million in 2012 and is now selling it for almost €300 million. The real estate platform of the opportunistic fund employs 400 people and generates a gross operating profit or EBITDA of around €50 million.

Centerbridge Could Raise €200M-€300M From Sale Of Aktua

The consolidation has begun of the banks’ former real estate companies, also known as servicers. The US fund Centerbridge has put its subsidiary Aktua up for sale, which it acquired from Banesto in 2012. The operation – known as Project Pegasus – has been entrusted to the investment banks Barclays and Bank of America, and to the law firm Linklaters, and has been valued at between €200 million and €300 million, according to various sources.

Aktua currently employs around 400 people and manages real estate assets worth €6,000 million. Alongside the assets that originated from Banesto – whose management it maintained following that entity’s integration with Santander – Centerbridge also manages properties and debt from BMN and several recovery contracts for other entities.

Centerbridge’s withdrawal from the market was first triggered when Aktua lost the contract it had held with Sareb, following that entity’s tender to select new managers in 2014. Since then, those assets have been managed by Altamira, owned by Apollo and Santander, which seems to be the likely candidate to take over Aktua.

Sources in the sector do not rule out the possibility that Aktua will end up in the hands of one of the other servicers that are part-owned by funds operating in Spain, such as Altamira; Aliseda, owned by Värde, Kennedy Wilson and Popular; Haya Real Estate, owned by Cerberus; Servihabitat, owned by TPG and CaixaBank; and Anticipa, owned by Blackstone. They have also not ruled out the possibility that Solvia, owned by Sabadell, will enter the process, since it was awarded one of the Sareb contracts.

With these kinds of operations, international funds are looking to obtain scale and efficiency in order to make their platforms more profitable. These investors spent almost €2,300 million buying servicers from the banks.

According to Reuters, new funds, interested in entering the sector for the first time, may also join the bidding, such as the private equity firm Permira.

In addition to these possible mergers, experts in the sector also expect that some of the entities that have not outsourced the management of their assets may do so. In fact, Ibercaja is progressing with Project Kite, which includes 6,900 residential units, 1,300 commercial premises and industrial warehouses and 600 plots of land, worth €800 million, and a team of professionals specialising in the segment, comprising around 50 employees.

Centerbridge’s exit from this business comes at a time when other opportunistic funds are also leaving the market, such as Elliott, which recently sold its recovery management platform to Cabot; and Fortress, which has put two of its main businesses in Spain up for sale: the financing company Lico Leasing and the loan management platform Paratus.
